Spanwise End User Licence Agreement
The agreement that applies when you use Spanwise.

1. Who this agreement is between
This agreement is between you, the individual using the Spanwise software, and Spanwise Technologies Ltd, a company registered in England and Wales under number 17404129, registered office Suite RA01, 195 to 197 Wood Street, London, E17 3NU ("Spanwise", "we", "us").
By logging in to Spanwise you accept this agreement. If you do not accept it, do not log in and do not use the software.
Spanwise is supplied for professional use in the course of your work. It is not offered to consumers.
If your employer or another organisation has a separate written agreement with us for the supply of Spanwise (a "Customer Agreement"), that agreement governs the commercial relationship between us and them. This agreement governs your own use of the software as an individual. If the two conflict, the Customer Agreement takes priority.
2. What Spanwise is
Spanwise is a hosted software service. You upload a structural calculation package, and Spanwise reads it and reports comments on what it finds, along with one of four outcome descriptions and a report you receive by email.
We provide the software as a service over the internet. Nothing is licensed to you for download, installation or local copying.
3. Your account
3.1 Accounts are created by us. You may not create an account for anyone else or allow anyone else to use yours.
3.2 Your login belongs to you alone. Do not share your password, and tell us promptly at help@spanwise.co.uk if you think someone else has used your account.
3.3 You are responsible for everything done through your account.
4. Your licence
We grant you a personal, limited, non exclusive, non transferable, revocable licence to use Spanwise for your own professional work, for as long as your account is open and you comply with this agreement.
That is the whole of what you are permitted. Any right not expressly granted here is reserved to us.
5. What you must not do
You must not:
(a) copy, modify, translate or create anything derived from the software;
(b) reverse engineer, decompile or disassemble the software, or attempt to derive its source code, prompts, models, rules or internal workings, except to the extent that the law expressly allows this and only after you have asked us for the information you need and we have not provided it;
(c) sell, rent, sublicense, host or otherwise make the software available to anyone else, whether or not for payment;
(d) use any robot, scraper or automated means to access the software, or access it other than through the interface we provide;
(e) circumvent or interfere with any access control, rate limit, usage cap or security measure, or attempt to reach data belonging to another user or another organisation;
(f) use the software, or anything it produces, to build, train, improve or evaluate any competing product or machine learning model;
(g) publish any benchmark, comparison or performance claim about Spanwise without our prior written consent;
(h) remove or obscure any notice of ownership, branding or authorship on the software or on a report;
(i) upload anything you do not have the right to upload, or anything unlawful, malicious or harmful;
(j) use the software in any way that breaks the law or breaches a duty you owe to your employer or to a third party.
6. What Spanwise does not do
This clause is the most important one in this agreement. Please read it.
6.1 Spanwise does not approve anything. It does not certify, approve or sign off a design, a calculation or a building control submission, and no output from it is an approval, a decision or professional advice.
6.2 Spanwise does not replace the check. It is a screening aid. It is there to help a qualified person do their own check faster and to point at things worth looking at. The check remains yours.
6.3 A qualified person must review every output before anyone relies on it. You must not pass a Spanwise comment, outcome or report to anyone, or act on it, without a qualified person satisfying themselves that it is correct.
6.4 Spanwise does not find everything, and it can be wrong. It may miss a genuine error in a package. It may raise a comment that turns out to be unfounded. It may read a number incorrectly, particularly on handwritten or scanned pages. An outcome that reports no critical issues means only that Spanwise did not raise one, and never that the design is correct or compliant.
6.5 Spanwise may not read a whole document. Where it has not read every page, or has withheld findings, it says so on the results page and in the report. Those notices are part of the output and you must read them.
6.6 The results are not consistent between runs. Screening the same document twice can produce different comments. Where the software compares a document with an earlier version, it is comparing what Spanwise raised each time, not what changed in the calculations.
6.7 Your professional responsibility is unchanged. Nothing produced by Spanwise transfers any part of your professional duty, your employer's statutory functions, or any duty owed to a client or the public, to us.
7. Documents you upload
7.1 You must have the right to upload each document and to allow us to process it.
7.2 You permit us to process your documents in order to provide the service, which includes sending their contents to the sub processors listed at https://spanwise.co.uk/sub-processors. Documents are processed outside the United Kingdom. Our privacy notice explains where, by whom and on what legal basis.
7.3 We do not claim ownership of your documents. Copyright in them stays where it was.
7.4 Personal data in a document is handled as set out in our privacy notice and, where your organisation has one with us, the data processing agreement between us and them.
7.5 We keep and delete documents and screening records on the schedule in our privacy notice.
8. Our intellectual property
8.1 The software, the reports it produces, its prompts, models, rules, wording, branding and the name Spanwise are ours or our licensors'. This agreement gives you permission to use the service and transfers nothing.
8.2 You may use a report produced from your own document for your own professional purposes, including passing it to your employer, the applicant and their engineer. You may not strip our branding from it or present it as your own work or as anyone else's.
8.3 If you send us feedback or a suggestion, we may use it without owing you anything and without restriction. Do not send us anything confidential as feedback.
9. Availability and changes
9.1 We do not promise that Spanwise will be available at any particular time or free of faults. It depends on third party providers and may be interrupted.
9.2 We may change, suspend or withdraw features, and may change how the screening works, at any time. Screening quality may go up or down as a result.
9.3 Any service commitment you have is in the Customer Agreement with your organisation, not in this agreement.
10. Suspension and ending your access
10.1 We may suspend or close your individual account immediately if you breach this agreement, if we reasonably suspect misuse of your account, or if the Customer Agreement covering your organisation ends. Suspension of your organisation's access as a whole is governed by the Customer Agreement, not by this clause.
10.2 You may stop using Spanwise at any time and ask us to close your account.
10.3 Clauses 5, 6, 7.3, 8, 11 and 14 continue to apply after your access ends.
11. Our liability to you
11.1 Nothing in this agreement limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
11.2 Subject to clause 11.1, and because you pay us nothing under this agreement:
(a) we exclude all warranties, conditions and terms implied by statute or common law to the fullest extent the law allows, and the software is provided as it is;
(b) we are not liable to you for loss of profit, loss of business, loss of contract, loss of goodwill, loss of anticipated saving, loss or corruption of data, or any indirect or consequential loss;
(c) we are not liable for any loss arising from reliance on a Spanwise output that a qualified person did not review as clause 6.3 requires; and
(d) our total liability to you under or in connection with this agreement is limited to £1,000.
11.3 Any liability we have to your organisation is set out in the Customer Agreement, and this clause does not limit it.
12. Data protection
We process personal data as described in our privacy notice at https://spanwise.co.uk/privacy. Where your organisation has a data processing agreement with us, that agreement governs personal data contained in the documents you upload.
13. Changes to this agreement
We may change this agreement. If we do, we will tell you before or when you next log in, and continuing to use Spanwise after that means you accept the change. If you do not accept it, stop using the software and ask us to close your account.
14. General
14.1 This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
14.2 If any part of this agreement is found to be unenforceable, the rest continues to apply.
14.3 No one other than you and us has any right to enforce this agreement under the Contracts (Rights of Third Parties) Act 1999.
14.4 If we do not enforce a term straight away, that does not mean we have given it up.
